The HIGH Lounge
Membership Agreement
**Must be 21 years of age to attend lounge**
This Membership Agreement (this “Agreement”), dated as of the last date written on the signature page hereto (the “Effective Date”), is by and between HLTempe, an Arizona smoking lounge (“Club”), located at 411 S Mill Avenue, #103, Tempe, Arizona 85281 (the “Club Space”) and the Member. The Club and the Member are sometimes referred to herein together as the “Parties”, and each a “Party”. In consideration of the mutual covenants and agreements set forth herein, the Parties agree as follows:
1. Services. Subject to the terms and conditions of this Agreement, obligations of the Member and any rules and regulations imposed by the Club from time to time, Club shall provide to Member access to the Club Space during Club hours, as set forth in the Club’s rules and regulations from time to time (the “Services”). The Club shall at all times perform the Services in a commercially reasonable manner. It is the duty of the Member to know the rules and regulations and to cooperate with the Club in the enforcement thereof.
2. Member Obligations. Member shall (i) consume all smokable products only in those areas as designated by the Club; (ii) not transfer, sell, lease, lend, exchange, convey, consign, give, or grant any smokable products to any other person for remuneration; (iii) not transfer, sell, lease, lend, exchange, convey, consign, give, or grant its membership to any other person; (iv) require that the Member respond promptly to any request or inquiry from the Club; (v) comply with the Club’s rules and regulations in effect at all times; and (vi) cooperate in good faith with Club in its performance of the Services.
3. Rules and Regulations. Member acknowledges that the Club may impose reasonable restrictions and conditions on the use of the Club Space and the Services, such restrictions and conditions taking the form of rules and regulations. Any such rules and regulations shall at all times be available in the Club Space and will be provided to Member upon request. Member further acknowledges that the Club may modify any such rules and regulations at any time and without prior notice.
4. Term, Termination, and Survival. This Agreement shall commence as of the Effective Date and shall continue for a period of seven (7) days unless sooner terminated pursuant to Section 4.2 or Section 4.3. The Club may terminate this Agreement, effective upon notice to the Member if the Member (i) causes any damage to the Club Space, to any other Member or to the reputation of the Club, or otherwise acts in a manner inconsistent with a professional demeanor and standard of care, each in the sole discretion of the Club; or (ii) materially breaches this Agreement, and such breach is incapable of cure, or with respect to a material breach capable of cure, the Defaulting Party does not cure such breach within 30 days after receipt of written notice of such breach. In the event that the Member breaches this Agreement (including any material breach), the Club may, in addition to any and all other remedies provided herein, require Member to reimburse the Club for any and all actual damages incurred by the Club arising out of, relating to or resulting from the breach or breaches, including attorneys’ fees and expenses, whereupon Member shall fully reimburse the Club for the same. The rights and obligations of the parties set forth in this Section 4 and in Sections 3, 5, 6, 8, 9 and 10 and any right or obligation of the parties in this Agreement which, by its nature, should survive termination or expiration of this Agreement, will survive any such termination or expiration of this Agreement.
5. Limitation of Liability. MEMBER MAY NOT MAKE ANY CLAIM AGAINST CLUB, OR ITS RESPECTIVE AFFILIATES, DIRECTORS, OFFICERS, EMPLOYEES, ATTORNEYS OR AGENTS FOR ANY SPECIAL, INDIRECT OR CONSEQUENTIAL DAMAGES IN RESPECT OF ANY BREACH OR
WRONGFUL CONDUCT (WHETHER BASED IN CONTRACT, TORT, OR OTHERWISE) IN CONNECTION WITH, ARISING OUT OF OR IN ANY WAY RELATED TO THIS AGREEMENT, OR ANY ACT, OMISSION OR EVENT OCCURRING IN CONNECTION THEREWITH. MEMBER HEREBY WAIVES,
RELEASES AND AGREES NOT TO SUE (AND AGREES NOT TO CONSENT TO ANY SUCH SUIT) UPON ANY CLAIM FOR ANY SUCH DAMAGES, WHETHER OR NOT ACCRUED AND WHETHER OR NOT KNOWN OR SUSPECTED TO EXIST. IN ADDITION, MEMBER ACKNOWLEDGES AND AGREES THAT NEITHER CLUB NOR ANY OF ITS AFFILIATES, DIRECTORS, OFFICERS, EMPLOYEES, ATTORNEYS OR AGENTS HAS ANY DUTY TO REVIEW OR ADVISE MEMBER WITH RESPECT TO ANY ASPECT OF ITS BUSINESS OPERATIONS OR CONDITION, ITS OBLIGATIONS TO MEMBER BEING SOLELY THOSE EXPRESSLY STATED IN THIS AGREEMENT.
6. Indemnification. Member hereby agrees to defend (with counsel reasonably satisfactory to the Club), indemnify, and hold harmless the Club, its officers, directors, employees, counsel, and agents from and against any claims, demands, liabilities, expenses (including attorneys’ fees and costs), or other losses (collectively, “Losses”) for any injury or damage, including, but not limited to, any personal or bodily injury or property damage, or violation of any law, rule, regulation, ordinance or code relating to, arising out of, or resulting in any way from any failure by Member or to comply with the terms, conditions and obligations in this Agreement, or any Losses relating to, arising out of or resulting in any way from Member’s failure to comply with the Club rules and
regulations in effect from time to time. This Section 6 survives the expiration or termination of this Agreement. Member acknowledges that (i) this Section 6 is material to the Club’s willingness to enter this Agreement and the Club would not have otherwise entered into this Agreement but for Member’s indemnity
obligations in this Section.
7. Severability. If any term or provision of this Agreement is found by a court of competent jurisdiction to be invalid, illegal or unenforceable in any jurisdiction, such invalidity, illegality or unenforceability shall not affect any other term or provision of this Agreement or invalidate or render unenforceable such term or provision in any other jurisdiction. Upon a determination that any term or provision is invalid, illegal, or unenforceable, the Parties
shall negotiate in good faith to modify this Agreement to effect the original intent of the Parties as closely as possible in order that the transactions contemplated hereby be consummated as originally contemplated to the greatest extent possible.
8. Waiver. No waiver by any Party of any of the provisions of this Agreement shall be effective unless explicitly set forth in writing and signed by the Party so waiving. Except as otherwise set forth in this Agreement, no failure to exercise, or delay in exercising, any right, remedy, power or privilege arising from this Agreement shall operate or be construed as a waiver thereof, nor shall any single or partial exercise of any right, remedy, power or privilege hereunder preclude any other or further exercise thereof or the exercise of any other right, remedy, power or privilege.
9. Choice of Law. This Agreement and all matters arising out of or relating to this Agreement are governed by, and construed in accordance with, the laws of the State of Arizona, without giving effect to the conflict of laws provisions thereof.
10. WAIVER OF JURY TRIAL. EACH PARTY ACKNOWLEDGES THAT ANY CONTROVERSY THAT MAY ARISE UNDER THIS AGREEMENT, INCLUDING EXHIBITS AND SCHEDULES ATTACHED TO THIS AGREEMENT, IS LIKELY TO INVOLVE COMPLICATED AND DIFFICULT ISSUES AND, THEREFORE, EACH SUCH PARTY IRREVOCABLY AND UNCONDITIONALLY WAIVES ANY RIGHT IT MAY HAVE TO A TRIAL BY JURY IN RESPECT OF ANY LEGAL ACTION ARISING OUT OF OR RELATING TO THIS AGREEMENT, INCLUDING ANY EXHIBITS, SCHEDULES, ATTACHMENTS OR
APPENDICES ATTACHED TO THIS AGREEMENT, OR THE TRANSACTIONS CONTEMPLATED HEREBY.
